Referral Terms & Conditions

1. Introduction

These Referral Terms and Conditions ("Terms") govern the referral programme ("Programme") operated by Etminan AI Solutions Ltd ("we", "us", "our"), a company registered in England and Wales. By participating in the Programme, you ("Partner", "you") agree to be bound by these Terms.

2. Eligibility

To participate in the Programme, you must meet the following criteria:

  • The Programme is open to individuals and businesses.
  • You must be 18 years of age or older, or a registered business entity.
  • You cannot refer yourself or entities you own or control.
  • We reserve the right to approve or decline any partner application at our discretion.
  • Current Etminan AI Solutions employees are not eligible to participate.

3. Commission Structure

  • Standard commission rate: 10% of the invoice subtotal (before VAT) for the first paid invoice on a referred engagement.
  • Commission is earned when the first invoice on the referred engagement is paid in full.
  • No recurring commissions on subsequent invoices for the same engagement.
  • No cap on commission per referral or total earned.
  • We may offer individual commission rate overrides at our discretion.
  • Commission is calculated on the invoice subtotal, excluding VAT, expenses, and third-party costs.

4. Valid Referral Definition

A valid referral is a new prospective client introduced to Etminan AI Solutions who:

  • Has not previously engaged with Etminan AI Solutions.
  • Has not been referred by another partner.
  • Results in a signed engagement or paid invoice within 12 months of the referral.

The referral must be communicated to us before or at the time of first contact with the prospect. We will confirm acceptance of the referral in writing.

5. Payment Terms

  • Commissions are paid via bank transfer (BACS or Faster Payment).
  • Payment is processed after the referred client's first invoice is paid in full.
  • You are responsible for providing accurate bank details for payment.
  • You are responsible for any tax obligations arising from commission payments.
  • We will not deduct tax at source unless legally required.

6. Duration and Termination

  • These Terms remain in effect until terminated by either party.
  • Either party may terminate participation with 30 days' written notice.
  • We may terminate immediately if you breach these Terms.
  • Earned but unpaid commissions at the time of termination will still be honoured.
  • Pending referrals (where no invoice has been paid) at the time of termination will not earn commission.

7. Confidentiality

  • You must keep confidential any information about our clients, pricing, or business operations.
  • You may not disclose commission rates or programme details to third parties without our consent.
  • This obligation survives termination of these Terms.

8. Limitation of Liability

  • Our total liability under these Terms shall not exceed the total commissions paid to you in the preceding 12 months.
  • We shall not be liable for indirect, consequential, or special damages.
  • We make no guarantees about the volume of referrals or commission earnings.

9. General Provisions

  • These Terms are governed by the laws of England and Wales.
  • We may amend these Terms at any time with 30 days' written notice.
  • Amendments will not affect commissions already earned.
  • These Terms constitute the entire agreement between the parties regarding the Programme.
  • If any provision is found unenforceable, the remaining provisions shall continue in full force.
